OPERATIONAL DUE DILIGENCE
Quantifying and qualifying the operational, financial
and marketplace benefits of combining operations is a key task in
evaluating investment, acquisition or merger candidates. Profitable
investments in new entities require an independent and thorough
understanding of competitive position, market size and growth
potential. MGA’s principals have substantial experience in performing
operational due diligence for investors and acquirers.
- Merle provided competitive intelligence and
marketplace positioning strategy for a Midwestern private equity fund
leading to increased investment in a bio-sciences start-up.
- Jack designed and led the for-profit conversion
process for a privately held business services firm. He secured a
preliminary $50 million private equity commitment and provided
financial support and communication to the Board special committee
overseeing the conversion, including engaging investment bankers,
preparing a draft S-1, and winning acceptance of the plan from the
special committee.
- Advising a $150 million company that received an
unsolicited purchase offer, Jack guided the board, engaged an
investment bank, managed the valuation process, led the due diligence
process at client and acquiring company, and negotiated the offer with
acquiring company executives, investment bankers and company
executives.
